Jeff Hergott

Jeff Hergott is a partner practising in the areas of corporate finance, mergers and acquisitions and corporate commercial law. Jeff has experience representing issuers, investment dealers and other stakeholders in a wide variety of capital markets and M&A transactions. He regularly advises clients on both public offerings and private placements of equity and debt securities.

Mandates that Jeff has been involved with include acting for:

• Origin Therapeutics Holdings Inc. in its reverse take-over transaction with Safe Supply Streaming Co Ltd.
• Ridout & Maybee LLP in its definitive agreement to be acquired by IPH Limited and to join Smart & Biggar
• Heliene Inc., a North American-made solar PV module manufacturer, in financings totaling US$170 million
• The Flowr Corporation in its $35 million sale of subsidiary Holigen Holdings to Akanda Corp. and Cannahealth Limited

Jeff’s M&A experience includes advising clients in respect of public and private share and asset acquisitions, mergers, takeovers and joint ventures and also includes advising clients in connection with going-public transactions. Jeff also routinely works with start-up and growth companies through all segments of their life cycle from formation, through various rounds of financings and eventual exits via capital market transactions or private sales. Jeff takes a collaborative approach to working with entrepreneurs.

Jeff represents a range of cannabis industry participants including licensed producers and applicants, retail participants and a range of ancillary service providers. Jeff has acted as lead counsel in a variety of transactions, including advising Tokyo Smoke with its early stage financings, through its public listing and ultimately its sale to Canopy Growth Corporation.

Jeff is a member of the firm’s Diversity, Equity and Inclusion Committee and the Students Committee. Jeff is an instructor with the Board Diversity Network, a networking and board-readiness educational program for diverse executives that Wildeboer Dellelce co-founded in 2023 as part of their firmwide diversity initiatives.
