Mark practises in the firm’s Corporate/Commercial and Securities Law groups, primarily in the areas of public securities market mergers and acquisitions, corporate governance and financial services.
In the public securities market, Mark has been involved in mergers and acquisitions, representing special committees in overseeing transactions, issuers engaged in acquisitions through friendly and hostile take-over bids, plans of arrangement and hostile take-over defense.
Mark has also advised in public securities market activism, having been involved in shareholder requisitions, proxy contests and advising on shareholder meeting matters.
Mark has represented international funds with respect to their investments in Canadian public issuers.
In the financial services market, Mark has advised in creations of Schedule 1 banks regulated under the Bank Act (Canada), as well as mergers and acquisition activities of financial institutions and regulated entities. He has also been involved in the formation of financial services businesses.
Mark has also represented a variety of private issuers in formations and mergers and acquisitions.
Mark recently submitted a brief to Standing Senate Committee on Banking, Trade and Commerce on Blockchain Technology and a letter to the Department of Finance Canada on their Second Consultation Paper. Click here to read more about it.
