Overview

Rebecca (she, her) is a Partner practising corporate and securities law, with a focus on venture capital (VC), private equity (PE), mergers and acquisitions, and corporate finance. Rebecca acts for funds, founders, underwriters and companies at all stages of the business lifecycle—from early-stage financings through to exits, IPOs and transformative transactions.

 

Rebecca works with:

  • VC, PE and other funds looking to structure vehicles, deploy capital and exit investments efficiently;
  • Owner-operators seeking to sell their businesses in a way that maximizes value and minimizes risk; and
  • Special committees and boards navigating complex transactions while meeting fiduciary and regulatory obligations.

 

Mandates that Rebecca has been involved with include acting for:

  • The Special Committees of the Independent Trustees of Padlock Euro Storage Fund I and related Padlock funds in connection with the £270 million sale of a portfolio of UK self-storage and mixed-use properties to an affiliate of QuadReal Property Group and related fund consolidation transactions.
  • Framework Venture Partners in connection with venture capital financings, investments and portfolio transactions exceeding US$220 million, including financings for Botpress Technologies Inc., Maxa AI Inc., Quandri Technologies Inc., ZayZoon Inc., Resilia and Hypatos GmbH, the launch of Framework Venture Partners Fund II with over US$100 million in committed capital, and the sale of portfolio company Brizo Foodmetrics.
  • The agents in connection with Forum Student Living Fund I’s $43.3 million initial public offering and concurrent financings raising aggregate proceeds of approximately $46.7 million.
  • The agents in connection with Focus Industrial UK Corp. I’s $42.1 million initial public offering.

 

Rebecca delivers pragmatic advice rooted in each client’s unique business needs. She enjoys working with clients who want to innovate and creatively solve problems.

 

Rebecca is an adjunct professor at Osgoode Hall Law School, where she teaches Securities Regulation. She also serves on the board of directors of ComKids, a charity focused on bridging technology gaps for youth in under-serviced communities. In addition, Rebecca is a faculty member of the Board Diversity Network, a board-readiness and networking initiative for diverse executives co-founded by Wildeboer Dellelce in 2023 as part of the firm’s broader commitment to diversity and inclusion.

 

Rebecca has repeatedly been named by The Best Lawyers in Canada as a “One to Watch” in the category of Mergers & Acquisitions, and is recognized for Corporate Finance and Securities in the Canadian Legal Lexpert Directory.
