Katy M. Pitch

Overview
Katy Pitch is a partner and head of the firm’s Tax Practice. She became a tax lawyer because of her love of math and problem solving. She prides herself on distilling complicated tax issues into practical business advice.
Her practice focuses on all areas of domestic and cross-border corporate income tax law (both public and private), including mergers and acquisitions, corporate transactions and reorganizations, banking transactions, investment and hedge funds, private equity and executive compensation. In her taxation of executive compensation practice, Katy is involved in all aspects of the design and implementation of tax efficient executive compensation plans for public and private companies including equity and non-equity-based incentive compensation arrangements.
Katy frequently advises companies and investment funds on the taxation issues surrounding the digital economy initiatives, including FinTech and Blockchain. She is a regular speaker and writer on the taxation of cryptocurrency, executive compensation and other tax topics. Katy is also a regular presenter at the Canadian Fintech Summit, where she has discussed tax issues facing start-ups.
Katy’s recent work includes advising on:
- Waterloo Brewing on its sale to Carlsberg Group for $144 million
- Advanced Health Intelligence Ltd. On its acquisition of Wellteq Digital Health Inc.
- Studio City Toronto and Studio City Rentals on its sale to Sunbelt Rentals of Canada, Inc.
- QYOU Media on its $3.2 million public offering of units
- Blockchain Foundry Inc. on its sale to WonderFi Technologies Inc.
- The NEO exchange on its sale to Cboe Global Markets, Inc.
- NG Energy International Corp. on its $17 million prospectus offering of debenture units
- The Flowr Corporation on its $35 million sale of its subsidiary Holigen Holdings to Akanda Corp. And Cannahealth Limited
- First Ledger Corp, the parent company to Bitbuy Technologies Inc., on its sale for $206 million to WonderFi Technologies Inc.
- CIBC, as lead agent, for the $130 million IPO of the Starlight Western Canada Multi-Family (No.2) Fund
- Givex Information Technology Group Limited’s RTO on the TSX
- The sale of the minority interest in Fresh Restaurants to Recipe Unlimited Corporation
- Flow Beverage Corporation’s RTO and trading on the TSX
Katy is a member of the Law Society of Ontario, the Canadian Tax Foundation, the Canadian Bar Association and the International Fiscal Association. She is currently an editor of Thomson Reuters’ Taxation of Executive Compensation and Retirement Journal.
Katy received the Lexpert Rising Stars: Leading Lawyers Under 40 Award in 2018.
Outside of work, Katy is a member of the board of Big Brothers Big Sisters of Toronto. In summer of 2022, Katy was selected to play for Maccabi Canada’s Softball team in the 21st Maccabiah Games in Israel, where her team won a bronze medal.
In her spare time, she is an active beginner hockey player and uber driver for her children, both hockey and baseball players.
