Acted for CaseWare International Inc., a global leader in audit and assurance software, in the strategic investment from Private Equity investor, Hg Capital.
Acted for iLobby, a provider of turnkey access management solutions, in its strategic investment of more than US$100 million from global venture capital and private equity firm Insight Partners.
Acted for BC Partners, a leading international investment firm with over C$27 billion of assets under management in private equity and private credit, in connection with a plan of arrangement to form Mount Logan Capital, a Canada-based asset manager created to source and execute on credit investment opportunities in North America. In connection with the completion of the plan of arrangement, Mount Logan acquired approximately US$16 million of loans pursuant to its loan program with a leading U.S. based loan provider and an additional US$7.2 million and C$5.1 million of loans sourced from BC Partners.
Framework Venture Partners Fund I LP in connection with structuring its initial venture capital fund which invests in and supports rapidly scaling AI and FinTech companies primarily in Canada. We also represented the Fund in connection with its initial investments in Flipgive, which has developed an innovative fundraising app for sports teams and other organizations; Daisy Intelligence, an AI-technology company which assists retailers and insurance companies generate significantly improved financial results; Countingup, a U.K. FinTech offering a business current account with built-in accounting features; Paper Education Company, a company that provides personalized learning solutions; and Incode Technologies, an omnichannel biometric identity company.
BDC IT Venture Fund in connection with several preferred share and follow-on financings in various Canadian technology companies such as TouchBistro, which provides point-of-sale (POS) solutions to the food and beverage industry; Wave Accounting, a leading provider of financial management software for entrepreneurs and small business owners; and GoViral, which has developed a tool for building referral campaigns to rapidly generate high-quality traffic.
Market Square Equity Partners in the formation and financing of its private equity platform as well as its subsequent acquisitions of each of its four portfolio companies, Clean Water Works, D.M. Robichaud Associates, Ontario Excavac and Intelligent Soil Recycling.
Covington Group of Funds in its acquisition and subsequent disposition of Fidelity PAC Metals, a distributor of stainless steel pipes, valves and fittings; its investment in Masstech Innovations Inc. and subsequent sale to FPE Capital, a leading UK-based growth equity investor; its investment in PlateSpin Ltd., a private Canadian leader in workload lifecycle management solutions and its subsequent acquisition by Massachusetts-based, Novell Inc.; its investment in and subsequent sale of Nakina Systems to Nokia; and investments in numerous other technology companies.
Northern Waters Capital Ltd./Bond Bakery Brands Limited in the establishment of the firm/company and equity financings as well as its subsequent acquisitions of Portofino Bakery Ltd, an artisanal-style commercial bakery, and Pace Processing and Product Development Ltd., a leading bakery and food solutions manufacturer. The company invests in mid-market private companies that exhibit significant growth characteristics and aims to form long-lasting partnerships by actively working to grow companies by providing financial and strategic support.
Acting for certain of the selling shareholders including August Capital, BDC IT Ventures, Khosla Ventures and Union Square Ventures in connection with Wattpad Corp. to be acquired by Naver Corporation for over USD $600 million.
CPS Partners Fund, a Canada-based private equity firm that invests in small to medium enterprises, in connection with the formation of the fund.
