Acted for Planet 13 Holdings Inc., a leading vertically-integrated Nevada cannabis company, in its acquisition of 45,000 square feet of indoor cultivation, $11.5 million bought deal prospectus offering and its acquisition of California dispensary license and assets.
Acted for Terrace Global Inc. in its agreement with The Flowr Corporation to jointly develop an outdoor medical cannabis project in Portugal and acted as Canadian legal counsel in respect of the acquisitions by Terrace of its international cannabis assets in Uruguay, Spain and Portugal.
Acted for the agents with respect to Flower One Holdings Inc. in its $20.85 million public offering and $50 million public offering.
Acted for Xtraction Services, Inc. in its merger with Caracara Silver Inc.

Acted for the underwriters with respect to Newstrike Resources Ltd. In its $51 million bought deal public offering and $92 million bought deal financing.
Acted for Hiku Brands in $540 million acquisition by Canopy Growth Corporation, in its acquisition of Maitri Group Inc., in their announcement to merge with WeedMD and in its acquisition of TS Prairie Retail Corp.
Acted for Tokyo Smoke, a Canadian lifestyle brand, in merger with DOJA Cannabis to form Hiku Brands.
Acted for the underwriters with respect to Canopy Growth Corporation $200 million bought deal financing, $60 million bought deal financing and $34.5 million bought deal financing.
