Rachel Manno
Overview
Rachel (she, her) is a partner in the firm’s Banking & Financial Services practice group. Rachel practised as a secured lending lawyer at a large, national law firm before joining the law group of RBC Capital Markets, supporting the derivatives solutions group. She left RBC for a fintech, lending to small businesses, as their general counsel and VP Operations (risk, credit adjudication, loan admin) and ultimately became their Chief Operations Officer.
After the company’s first public offering, Rachel returned to private practice. Rachel works with:
- Canadian lenders looking to close cash flow, asset-based, fund finance, securitization and infrastructure loans expertly and efficiently;
- Counsel outside Canada representing international lenders managing local issues and the need for execution certainty;
- Non-bank lenders, including within the private credit space, navigating what’s market in Canada;
- Canadian and international companies on quarterbacking their financing and other business needs.
Rachel prides herself on offering the kind of pragmatic advice she relied on at the bank and as a business operator. She approaches her work with equal parts common sense and humour. She prizes high quality work and humility.
Rachel is a recipient of the 2024 Lexpert Rising Stars Award and was featured in 2025 as a Leading Lawyer to Watch in the Canadian Legal Lexpert Directory. She is a member of the Board of Directors and Secretary of the Canadian Lenders Association, the Board of Directors of Big Brothers Big Sisters Ontario, and chair of the Ontario steering committee of VersaFi (formerly Women in Capital Markets). Within the firm, Rachel is involved with many student and training initiatives.
Rachel holds a B.A. (Hons.) in English Literature from Queen’s University, an M.A. in English Literature from the University of Toronto and a J.D. from the University of Windsor Faculty of Law. Rachel was called to the Bar of Ontario in 2012.
