Givex Corporation Completes Upsized $22 Million Private Placement Offering of Subscription Receipts in Connection with Qualifying Transaction

Givex Corporation, a fintech company that has developed and commercialized a cloud-based, omnichannel technology platform, has completed an upsized private placement of subscription receipts for aggregate gross proceeds of approximately $22 million. The offering was completed in connection with Givex’s previously announced reverse take-over transaction with County Capital 2 Ltd. The offering consisted of approximately $17.6 million of subscription receipts sold pursuant to a best efforts brokered private placement, and $4.4 million of subscription receipts sold pursuant to a non-brokered private placement.

 

Each subscription receipt issued in connection with the offering will entitle the holder to receive one Class A ordinary share of Givex and one-half of one Class A ordinary share purchase warrant of Givex. It is anticipated that upon closing of the RTO transaction with County, each underlying share and underlying warrant will be exchanged for one common share and one common share purchase warrant of County (to be renamed “Givex Information Technology Group Limited” following closing of the RTO transaction).

 

Research Capital Corporation acted as lead agent in respect of the brokered offering together with a syndicate of agents that included Canaccord Genuity Corp. and Paradigm Capital Inc.

 

Prior to closing of the offering, Givex, County and a wholly-owned subsidiary of County also entered into a business combination agreement, pursuant to which the parties will complete the business combination resulting in the reverse takeover of County by Givex.
