Klondex Mines Ltd. Completes Acquisition of Bison Gold Resources Inc.
Klondex Mines Ltd. (TSX:KDX; NYSE American:KLDX) completed its acquisition of Bison Gold Resources Inc. (TSXV:BGE) pursuant to a court-approved plan of arrangement under the Business Corporations Act (Ontario). Under the terms of the arrangement, former shareholders of Bison Gold received 0.1242 of a common share of Klondex, subject to adjustment for fractional shares. Outstanding options to acquire common shares of Bison Gold were exchanged for options to acquire common shares of Klondex having the same terms and conditions as the former Bison options, subject to adjustment in accordance with the same exchange ratio. Outstanding warrants to acquire common shares of Bison Gold remained outstanding upon closing of the arrangement and entitle the holders to acquire common shares of Klondex on the same terms and conditions, subject to adjustment in accordance with the same exchange ratio.
