Mark Wilson
Overview
Mark practises in the firm’s corporate and commercial, corporate finance and securities, mergers and acquisitions, asset management and investment funds and corporate governance and investor activism groups.
In the corporate and commercial market, Mark provides ongoing outside counsel advice to large Canadian issuers with a dominant position in their individual markets. He has also represented a variety of private issuers in formations and mergers and acquisitions.
In the public securities market, Mark has been involved in mergers and acquisitions, representing special committees in overseeing transactions, issuers engaged in acquisitions through friendly and hostile take-over bids, plans of arrangement and hostile take-over defense. He has also advised in public securities market activism, having been involved in shareholder requisitions, proxy contests and advising on shareholder meeting matters, representing Canadian and United States based funds and individual investors with respect to their investments in Canadian public issuers. Mark has also advised directors and officers of Canadian public issuers in governance matters.
In the financial services market, Mark has been primary legal advisor in the creation of two Schedule I banks regulated under the Bank Act (Canada), as well as financial institution transaction activity. He has also been involved in the formation of financial services businesses. Mark has participated in regulatory consulting processes, submitting a brief to the Standing Senate Committee on Banking, Trade and Commerce (Canadian Senate) concerning the recognition of blockchain technology in federal Canadian corporate law (click here to access that submission) and a brief to the Department of Finance Canada on its Second Consultation Paper on Review of the Federal Financial Sector Framework.
In the structured finance and asset management market, Mark has been involved in private fund creation, public fund reorganization and dealer registration matters. He provides ongoing outside counsel advice to asset managers and dealers.
Mark is qualified to practise law in Ontario, New York, England and Wales and New South Wales. He is admitted as a solicitor in the Republic of Ireland and a barrister and solicitor of the High Court of New Zealand.
