CoinSmart Enters into Business Combination with WonderFi and Coinsquare to Create One of Canada’s Largest Regulated Crypto Asset Trading Platforms

WonderFi Technologies Inc., Coinsquare Ltd. and CoinSmart Financial Inc. have entered into a business combination agreement to combine their respective businesses.

The combined company will offer one of the largest regulated crypto asset trading platforms in Canada, and will provide Canadians with a wide range of diversified products and services including both retail and institutional crypto trading, staking products, B2B crypto payment processing and, subject to the receipt of regulatory approvals, will also soon include sports betting and gaming.

Wildeboer Dellelce LLP is acting for CoinSmart in connection with the business combination with a team comprising of James Brown, Joel Fraser, Julian Lupo and Sam Fata (Corporate Finance and Securities / Mergers and Acquisitions) and Katy Pitch and Colin Romano (Tax).
