Overview

Joel is a lawyer practising primarily in the areas of corporate finance and securities, mergers and acquisitions and corporate and commercial law. He acts for both private and publicly listed clients across a range of industries in connection with a variety of matters, including equity financings, go-public transactions, M&A, securities law compliance and corporate governance.

 

Mandates that Joel has been involved with include acting for:

 

  • The Special Committee of Mindset Pharma Inc. in its sale to Otsuka Pharmaceutical Co., Ltd.
  • The Special Committee of Northview Fund in its recapitalization transaction, including the acquisition of three real property portfolios for $742 million, and its intention to internalize management and restructure as “Northview Residential REIT”.
  • Heliene Inc., a North American-made solar PV module manufacturer, in financings totaling US$170 million.
  • CoinSmart Financial Inc., in its business combination with WonderFi Technologies Inc. and Coinsquare Ltd. to create one of Canada’s largest regulated crypto asset trading platforms.
  • Waterloo Brewing Ltd. in its acquisition by Carlsberg Group.
  • The underwriters in connection with the bought deal offering of HEALWELL AI Inc., a healthcare technology company focused on AI and data science for preventative care.

 

As part of the firm’s partnership with Canada Basketball, the National Sporting Organization for Basketball in Canada, Joel is part of a team of lawyers providing pro bono legal services to BIPOC owned and operated businesses within the Basketball community who have applied, through Canada Basketball, for legal assistance to either launch or grow their businesses.

 

Joel is a former supervising lawyer with the Osgoode Venture Capital Clinic which provides legal services to early-stage entrepreneurial ventures in the financing and equity structuring stages of growth.

 

Joel joined the firm as a summer student in 2016 and articled with the firm in 2017-2018. During his time as an articling student at the firm, Joel completed a three-month secondment at the Corporate Finance Branch of the Ontario Securities Commission.

 

Outside of law, Joel enjoys spending time at the cottage with family and friends.
