2025 Cross-Border Deal Year in Review

Deals

Acted for the Special Committee of CI Financial, a Canadian investment management company, in the $12.1 billion take-private transaction by Mubadala Capital, a global alternative asset manager headquartered in Abu Dhabi, UAE.

 

Acted for Mount Logan Capital Inc., a U.S.-based alternative asset management and insurance solutions company, on its strategic business combination with 180 Degree Capital Corp., a Montclair, New Jersey-based closed-end investment company.

 

Acted as Canadian counsel for Brazil Potash Corp., a mineral exploration and development company with a potash mining project located in the state of Amazonas, Brazil, in its US$28 million cross-border PIPE.

 

Acted for Better Choice Company Inc., a U.S.-based pet health and wellness company, in its acquisition of SRx Health, a chain of specialty pharmacy stores and clinics across Canada, for US$125 million.

 

Acted for the Special Committees of the Independent Trustees of Padlock Euro Storage Fund I and Padlock Partners UK Fund IV on their plan of arrangement, consolidating assets into a merged fund focused on self-storage and mixed-use properties in the UK and Spain, and in its sale of a 95% interest in its portfolio of 26 UK self-storage and mixed-use properties to QR CS Padlock LP, an affiliate of QuadReal Property Group.

 

Acted for NG Energy International Corp., a natural gas exploration and production company with assets in Colombia, in the sale of a 40% operating working interest in the Sinu-9 Block, an onshore natural gas asset in Colombia’s Lower Magdalena Basin, to Etablissements Maurel & Prom S.A., an oil company headquartered in Paris, France, for US$150 million.

 

Acted for Goodkind Software Corporation, a Toronto-based student communications platform, in its acquisition by Niche, a Pittsburgh, Pennsylvania-based company and leading platform connecting students with colleges and schools.

 

Acted for 3iQ Digital Holdings Inc., the first asset manager in North America to launch exchange-listed closed end funds and ETFs for Bitcoin (BTC) and Ethereum (ETH), in its additional share acquisition by Monex Group Inc., a financial services company based in Tokyo, Japan.
