Integrated Grain Processors Co-operative Inc. Acquired by Alco Energy

On December 17, 2024, Alco Energy Canada, a subsidiary of Alco Energy, a Belgium-based global ethanol producer (“Alco Energy”), completed its acquisition of Integrated Grain Processors Corp. (formerly known as Integrated Grain Processors Co-operative Inc.) (“IGPC”) and its subsidiary, IGPC Ethanol Inc., by way of a court approved plan of arrangement under the Business Corporations Act (Ontario) (the “Transaction”). As part of the Transaction, IGPC was converted from a co-operative corporation governed by the Co-Operative Corporations Act (Ontario) to a corporation governed by the Business Corporations Act (Ontario).

IGPC, headquartered in Aylmer, Ontario, is Canada’s second-largest ethanol producer and operates a state-of-the-art biorefinery producing ethanol, protein for animal feed, corn oil, and biogenic CO2. Alco Energy, one of the largest ethanol producers in Europe, is a joint venture between Alco Group and Groep Vanden Avenne Commodities.

Upon the completion of the Transaction, Alco Energy will add 380 million liters (100 million gallons) of fuel-grade ethanol to its existing production capacity of 1 billion liters. With Alco Bio Fuel in Ghent (Belgium), Alco Energy Rotterdam (The Netherlands) and now IGPC in Aylmer (Canada), Alco will produce yearly 1.4 billion liters of fuel ethanol. The Transaction enhances Alco Energy’s global footprint and marks a strategic investment in the North American ethanol market, further consolidating its position as a leading international player in the renewable fuels industry.

Wildeboer Dellelce LLP acted for IGPC in connection with the Transaction with a team that included Sanjeev Patel, James Brown, Nathan Holloway, Melissa Smith, Mayur Pujara and Pavanpreet Ranu (M&A and Corporate/Securities), and Mariam Al-Shikarchy (Tax).
